F-13, s. 2; 2006, c. 9, s. 276(E)</HistoricalNoteSubItem></HistoricalNote></Section><Heading lims:inforce-start-date="2012-03-16" lims:fid="230907" lims:id="230907" level="1"><Label>PART I</Label><TitleText>Freshwater Fish Marketing Corporation</TitleText></Heading><Heading lims:inforce-start-date="2012-03-16" lims:fid="230908" lims:id="230908" level="2"><TitleText>Constitution of the Corporation</TitleText></Heading><Section lims:inforce-start-date="2006-12-12" lims:lastAmendedDate="2006-12-12" lims:fid="230909" lims:id="230909"><MarginalNote lims:inforce-start-date="2006-12-12" lims:fid="230910" lims:id="230910">Corporation established</MarginalNote><Label>3</Label><Subsection lims:inforce-start-date="2006-12-12" lims:fid="230911" lims:id="230911"><Label>(1)</Label><Text>A corporation is hereby established, to be known as the Freshwater Fish Marketing Corporation, consisting of a Board of Directors composed of a Chairperson, a President, one director for each participating province and four other directors.</Text></Subsection><Subsection lims:inforce-start-date="2006-12-12" lims:fid="230912" lims:id="230912"><MarginalNote lims:inforce-start-date="2006-12-12" lims:fid="230913" lims:id="230913">Appointment of Chairperson and President</MarginalNote><Label>(2)</Label><Text>The Chairperson and the President shall each be appointed by the Governor in Council to hold office during pleasure for such term as the Governor in Council considers appropriate.</Text></Subsection><Subsection lims:inforce-start-date="2006-12-12" lims:fid="230914" lims:id="230914"><MarginalNote lims:inforce-start-date="2006-12-12" lims:fid="230915" lims:id="230915">Appointment of directors</MarginalNote><Label>(3)</Label><Text>Each director, other than the Chairperson and the President, shall be appointed by the Minister, with the approval of the Governor in Council, to hold office during pleasure for a term not exceeding four years that will ensure, as far as possible, the expiration in any one year of the terms of office of not more than one half of the directors.</Text></Subsection><Subsection lims:inforce-start-date="2006-12-12" lims:fid="230916" lims:id="230916"><MarginalNote lims:inforce-start-date="2006-12-12" lims:fid="230917" lims:id="230917">Appointment</MarginalNote><Label>(4)</Label><Text>A director of the Corporation for a participating province shall be appointed on the recommendation of the lieutenant governor in council of the participating province.</Text></Subsection><Subsection lims:inforce-start-date="2006-12-12" lims:fid="230918" lims:id="230918"><MarginalNote lims:inforce-start-date="2006-12-12" lims:fid="230919" lims:id="230919">Eligibility</MarginalNote><Label>(5)</Label><Text>A person who has reached the age of seventy years is not eligible to be appointed a director of the Corporation and a director of the Corporation ceases to hold office on reaching the age of seventy years.</Text></Subsection><Subsection lims:inforce-start-date="2006-12-12" lims:fid="230920" lims:id="230920"><MarginalNote lims:inforce-start-date="2006-12-12" lims:fid="230921" lims:id="230921">Re-appointment</MarginalNote><Label>(6)</Label><Text>A director of the Corporation on the expiration of that director’s term of office is, if not disqualified by age, eligible for re-appointment.</Text></Subsection><Subsection lims:inforce-start-date="2006-12-12" lims:fid="230922" lims:id="230922"><MarginalNote lims:inforce-start-date="2006-12-12" lims:fid="230923" lims:id="230923">Vacancies</MarginalNote><Label>(7)</Label><Text>A vacancy on the Board does not impair the right of the remaining directors of the Corporation to act, but where the vacancy relates to the office of a director for a participating province, it shall be filled as soon as practicable in the manner provided in this section.</Text></Subsection><Subsection lims:inforce-start-date="2006-12-12" lims:fid="230924" lims:id="230924"><MarginalNote lims:inforce-start-date="2006-12-12" lims:fid="230925" lims:id="230925">Temporary substitute directors</MarginalNote><Label>(8)</Label><Text>If any director of the Corporation, other than the Chairperson or the President, is absent or unable to act, the Governor in Council may appoint a temporary substitute director on such conditions as the Governor in Council prescribes.</Text></Subsection><HistoricalNote><HistoricalNoteSubItem lims:inforce-start-date="2006-12-12" lims:fid="230927" lims:id="230927">R.S., 1985, c. F-13, s. 4; 2006, c. 9, s. 278(E)</HistoricalNoteSubItem></HistoricalNote></Section><Section lims:inforce-start-date="2002-12-31" lims:lastAmendedDate="2002-12-31" lims:fid="230932" lims:id="230932"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="230933" lims:id="230933">Management vested in President</MarginalNote><Label>5</Label><Subsection lims:inforce-start-date="2002-12-31" lims:fid="230934" lims:id="230934"><Label>(1)</Label><Text>The President is the chief executive officer of the Corporation and the general manager of its undertakings and has on behalf of the Board the direction and control of the business of the Corporation with authority to act in the conduct of the business of the Corporation in all matters that are not by this Act or by the by-laws of the Board specifically reserved to be done by the Board.</Text></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="230935" lims:id="230935"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="230936" lims:id="230936">Absence or incapacity of President</MarginalNote><Label>(2)</Label><Text>In the event of the absence or incapacity of the President, or if the office of President is vacant, the Board shall authorize an officer or director of the Corporation to act as President for the time being, but no person so authorized by the Board has authority to act as President for a period exceeding sixty days without the approval of the Governor in Council.</Text></Subsection><HistoricalNote><HistoricalNoteSubItem lims:inforce-start-date="2002-12-31" lims:fid="230938" lims:id="230938">R.S., c. F-13, s. 5</HistoricalNoteSubItem></HistoricalNote></Section><Section lims:inforce-start-date="2006-12-12" lims:lastAmendedDate="2006-12-12" lims:fid="230939" lims:id="230939"><MarginalNote lims:inforce-start-date="2006-12-12" lims:fid="230940" lims:id="230940">Salaries and fees</MarginalNote><Label>6</Label><Subsection lims:inforce-start-date="2006-12-12" lims:fid="230941" lims:id="230941"><Label>(1)</Label><Text>The President shall be paid by the Corporation a salary to be fixed by the Governor in Council and the Chairperson and the other directors of the Corporation other than the President shall be paid by the Corporation such fees for attendances at meetings of the Board or any committee thereof as are fixed by the Governor in Council.</Text></Subsection><Subsection lims:inforce-start-date="2006-12-12" lims:fid="230942" lims:id="230942"><MarginalNote lims:inforce-start-date="2006-12-12" lims:fid="230943" lims:id="230943">Expenses</MarginalNote><Label>(2)</Label><Text>Each director of the Corporation is entitled to be paid by the Corporation such travel and living expenses incurred by the director in the performance of his duties as are fixed by by-law of the Board.</Text></Subsection><HistoricalNote><HistoricalNoteSubItem lims:inforce-start-date="2006-12-12" lims:fid="230945" lims:id="230945">R.S., 1985, c. F-13, s. 6; 2006, c. 9, s. 278(E)</HistoricalNoteSubItem></HistoricalNote></Section><Heading lims:inforce-start-date="2012-03-16" lims:fid="230946" lims:id="230946" level="2"><TitleText>Purpose and Powers</TitleText></Heading><Section lims:inforce-start-date="2002-12-31" lims:lastAmendedDate="2002-12-31" lims:fid="230947" lims:id="230947"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="230948" lims:id="230948">Purpose and powers</MarginalNote><Label>7</Label><Text>The Corporation is established for the purpose of marketing and trading in fish, fish products and fish by-products in and outside Canada and, in addition to the powers conferred by other provisions of this Act and by any other Act, has for that purpose power to</Text><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="230949" lims:id="230949"><Label>(a)</Label><Text>buy fish and dress, fillet, freeze, package or otherwise prepare fish for market;</Text></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="230950" lims:id="230950"><Label>(b)</Label><Text>buy, manufacture or produce fish products and fish by-products and package or otherwise prepare fish products and fish by-products for market;</Text></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="230951" lims:id="230951"><Label>(c)</Label><Text>store, ship, insure, import, export, market, sell or otherwise dispose of fish, fish products and fish by-products bought, prepared, manufactured or produced by it;</Text></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="230952" lims:id="230952"><Label>(d)</Label><Text>purchase, lease or otherwise acquire and hold, sell or otherwise deal with any real property;</Text></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="230953" lims:id="230953"><Label>(e)</Label><Text>establish branches or employ agents in Canada or elsewhere;</Text></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="230954" lims:id="230954"><Label>(f)</Label><Text>invest any money in its possession or under its control that in its opinion is not immediately required for the purposes of its operations, in securities of or guaranteed by the Government of Canada and sell any securities so acquired by it and reinvest the proceeds or any part of the proceeds thereof in like manner;</Text></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="230955" lims:id="230955"><Label>(g)</Label><Text>borrow money from any bank on the credit of the Corporation;</Text></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="230956" lims:id="230956"><Label>(h)</Label><Text>make loans of working capital on a seasonal basis to persons engaged in fishing for commercial purposes in a participating province; and</Text></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="230957" lims:id="230957"><Label>(i)</Label><Text>do all such other things as are necessary or incidental to the exercise of any of its powers or the carrying out of any of its functions under this Act.</Text></Paragraph><HistoricalNote><HistoricalNoteSubItem lims:inforce-start-date="2002-12-31" lims:fid="230959" lims:id="230959">R.S., c. F-13, s. 8</HistoricalNoteSubItem></HistoricalNote></Section><Heading lims:inforce-start-date="2012-03-16" lims:fid="230964" lims:id="230964" level="2"><TitleText>Organization and Staff</TitleText></Heading><Section lims:inforce-start-date="2002-12-31" lims:lastAmendedDate="2002-12-31" lims:fid="230965" lims:id="230965"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="230966" lims:id="230966">Employment of staff</MarginalNote><Label>9</Label><Subsection lims:inforce-start-date="2002-12-31" lims:fid="230967" lims:id="230967"><Label>(1)</Label><Text>The Corporation may employ such officers and employees as it considers necessary for the proper conduct of its activities.</Text></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="230968" lims:id="230968"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="230969" lims:id="230969">Terms and conditions of employment</MarginalNote><Label>(2)</Label><Text>The Board may by by-law prescribe the duties of the officers and employees of the Corporation and the terms and conditions of their employment.</Text></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="230970" lims:id="230970"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="230971" lims:id="230971">Remuneration</MarginalNote><Label>(3)</Label><Text>The persons employed pursuant to subsection (1) shall be paid by the Corporation such remuneration as is fixed by by-law of the Board.</Text></Subsection><HistoricalNote><HistoricalNoteSubItem lims:inforce-start-date="2002-12-31" lims:fid="230973" lims:id="230973">R.S., c. F-13, s. 24</HistoricalNoteSubItem></HistoricalNote></Section><Heading lims:inforce-start-date="2012-03-16" lims:fid="231069" lims:id="231069" level="2"><TitleText>Agreements Respecting Participation</TitleText></Heading><Section lims:inforce-start-date="2002-12-31" lims:lastAmendedDate="2002-12-31" lims:fid="231070" lims:id="231070"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="231071" lims:id="231071">Definition of <DefinedTermEn>province to which this section applies</DefinedTermEn></MarginalNote><Label>24</Label><Subsection lims:inforce-start-date="2002-12-31" lims:fid="231072" lims:id="231072"><Label>(1)</Label><Text>In this section, <DefinedTermEn>province to which this section applies</DefinedTermEn> means any of the following provinces or territories, namely, Ontario, Manitoba, Saskatchewan, Alberta, the Northwest Territories or Nunavut.</Text></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="231073" lims:id="231073"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="231074" lims:id="231074">Participation agreements</MarginalNote><Label>(2)</Label><Text>With the approval of the Governor in Council, the Minister may, on behalf of the Government of Canada, enter into an agreement with the government of any province to which this section applies, providing for</Text><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="231075" lims:id="231075"><Label>(a)</Label><Text>the sharing by the province with the Government of Canada of initial operating and establishment expenses of the Corporation and of any losses incurred as a result of the guarantee, under paragraph 16(1)(a), of repayments of loans, and interest thereon, made by any bank to the Corporation;</Text></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="231076" lims:id="231076"><Label>(b)</Label><Text>the performance by the Corporation, on behalf of the province, of functions relating to intraprovincial trade in fish;</Text></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="231077" lims:id="231077"><Label>(c)</Label><Text>the undertaking by the province of arrangements for the payment, to the owner of any plant or equipment used in storing, processing or otherwise preparing fish for market, of compensation for any such plant or equipment that will or may be rendered redundant by reason of any operations authorized to be carried out by the Corporation under this Part; and</Text></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="231078" lims:id="231078"><Label>(d)</Label><Text>such other matters as may be agreed on by the Minister and the government of the province.</Text></Paragraph></Subsection><HistoricalNote><HistoricalNoteSubItem lims:inforce-start-date="2002-12-31" lims:fid="231080" lims:id="231080">R.S., 1985, c. F-13, ss. 26, 27</HistoricalNoteSubItem></HistoricalNote></Section><Section lims:inforce-start-date="2002-12-31" lims:lastAmendedDate="2002-12-31" lims:fid="231089" lims:id="231089"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="231090" lims:id="231090">Powers of inspectors</MarginalNote><Label>26</Label><Subsection lims:inforce-start-date="2002-12-31" lims:fid="231091" lims:id="231091"><Label>(1)</Label><Text>Subject to subsection (1.1), an inspector may at any reasonable time</Text><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="231092" lims:id="231092"><Label>(a)</Label><Text>enter any place or premises that the inspector believes on reasonable grounds is being used to store, pack, process or prepare fish for market or shipment or any vehicle, trailer, vessel, railway car or aircraft that the inspector believes on reasonable grounds is being used to ship or convey fish for market;</Text></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="231093" lims:id="231093"><Label>(b)</Label><Text>open any container found therein or examine anything found therein that the inspector believes on reasonable grounds contains any such fish, and take samples thereof; and</Text></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="231094" lims:id="231094"><Label>(c)</Label><Text>require any person to produce for inspection or for the purpose of obtaining copies thereof or extracts therefrom, any books, shipping bills, bills of lading, invoices or other documents or papers concerning any matter relevant to the administration of this Part.</Text></Paragraph></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="231095" lims:id="231095"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="231096" lims:id="231096">Warrant required to enter dwelling-house</MarginalNote><Label>(1.1)</Label><Text>Where any place or premises referred to in paragraph (1)(a) is a dwelling-house, an inspector may not enter that dwelling-house without the consent of the occupant except under the authority of a warrant issued under subsection (1.2).</Text></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="231097" lims:id="231097"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="231098" lims:id="231098">Authority to issue warrant</MarginalNote><Label>(1.2)</Label><Text>Where on <Language xml:lang="la">ex parte</Language> application a justice of the peace is satisfied by information on oath</Text><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="231099" lims:id="231099"><Label>(a)</Label><Text>that the conditions for entry described in paragraph (1)(a) exist in relation to a dwelling-house,</Text></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="231100" lims:id="231100"><Label>(b)</Label><Text>that entry to the dwelling-house is necessary for any purpose relating to the administration or enforcement of this Act, and</Text></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="231101" lims:id="231101"><Label>(c)</Label><Text>that entry to the dwelling-house has been refused or that there are reasonable grounds for believing that entry thereto will be refused,</Text></Paragraph><ContinuedSectionSubsection lims:inforce-start-date="2002-12-31" lims:fid="231102" lims:id="231102"><Text>the justice of the peace may issue a warrant under his hand authorizing the inspector named therein to enter that dwelling-house subject to such conditions as may be specified in the warrant.</Text></ContinuedSectionSubsection></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="231103" lims:id="231103"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="231104" lims:id="231104">Use of force</MarginalNote><Label>(1.3)</Label><Text>In executing a warrant issued under subsection (1.2), the inspector named therein shall not use force unless the inspector is accompanied by a peace officer and the use of force has been specifically authorized in the warrant.</Text></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="231105" lims:id="231105"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="231106" lims:id="231106">Assistance to inspectors</MarginalNote><Label>(2)</Label><Text>The owner or person in charge of any place, premises or conveyance referred to in subsection (1) and every person found therein shall give an inspector all reasonable assistance to enable the inspector to carry out his duties and functions under this Part and shall furnish the inspector with any information he may reasonably require with respect to the administration of this Part.</Text></Subsection><HistoricalNote><HistoricalNoteSubItem lims:inforce-start-date="2002-12-31" lims:fid="231108" lims:id="231108">R.S., 1985, c.
