and</Text></Paragraph><Paragraph lims:inforce-start-date="2024-06-22" lims:enacted-date="2023-06-22" lims:fid="1485489" lims:id="1485489"><Label>(b)</Label><Text>enter into contracts, agreements, memoranda of understanding or other arrangements with a department, board or agency of the Government of Canada, with any other government or any of its departments, boards or agencies or with any person or organization in the name of His Majesty in right of Canada or in its own name.</Text></Paragraph></Subsection><Subsection lims:inforce-start-date="2024-06-22" lims:enacted-date="2023-06-22" lims:fid="1485490" lims:id="1485490"><MarginalNote lims:inforce-start-date="2024-06-22" lims:enacted-date="2023-06-22" lims:fid="1485491" lims:id="1485491">Non-application of requirements</MarginalNote><Label>(2.1)</Label><Text>Despite the <XRefExternal reference-type="act" link="F-11">Financial Administration Act</XRefExternal>, including subsection 41(1) of that Act, the Council is not subject to any requirement established by the Treasury Board under that Act that</Text><Paragraph lims:inforce-start-date="2024-06-22" lims:enacted-date="2023-06-22" lims:fid="1485492" lims:id="1485492"><Label>(a)</Label><Text>limits, on the basis of financial criteria, the power of the Council to enter into contracts for the procurement of goods and services; or</Text></Paragraph><Paragraph lims:inforce-start-date="2024-06-22" lims:enacted-date="2023-06-22" lims:fid="1485493" lims:id="1485493"><Label>(b)</Label><Text>relates to limits on liability or indemnification in those contracts.</Text></Paragraph></Subsection><Subsection lims:inforce-start-date="2024-06-22" lims:enacted-date="2023-06-22" lims:fid="1485494" lims:id="1485494"><MarginalNote lims:inforce-start-date="2024-06-22" lims:enacted-date="2023-06-22" lims:fid="1485495" lims:id="1485495">Procurement of goods and services</MarginalNote><Label>(2.2)</Label><Text>Despite section 9 of the <XRefExternal reference-type="act" link="P-38.2">Department of Public Works and Government Services Act</XRefExternal>, the Council may procure goods and services from outside the federal public administration.</Text></Subsection><Subsection lims:inforce-start-date="2024-06-22" lims:enacted-date="2023-06-22" lims:fid="1485496" lims:id="1485496"><MarginalNote lims:inforce-start-date="2024-06-22" lims:enacted-date="2023-06-22" lims:fid="1485497" lims:id="1485497">Clarification</MarginalNote><Label>(2.3)</Label><Text>For greater certainty, the power to procure goods and services includes the power to procure goods and services relating to construction and to research-related digital and information technology.</Text></Subsection><Subsection lims:inforce-start-date="2024-06-22" lims:enacted-date="2023-06-22" lims:fid="1485498" lims:id="1485498"><MarginalNote lims:inforce-start-date="2024-06-22" lims:enacted-date="2023-06-22" lims:fid="1485499" lims:id="1485499">Legal services</MarginalNote><Label>(2.4)</Label><Text>The Council may procure legal services from outside the federal public administration only with the approval of the Attorney General of Canada.</Text></Subsection><Subsection lims:inforce-start-date="2021-06-29" lims:enacted-date="2021-06-29" lims:fid="1309790" lims:id="1309790"><MarginalNote lims:inforce-start-date="2021-06-29" lims:enacted-date="2021-06-29" lims:fid="1309791" lims:id="1309791">Incorporation and acquisition of shares</MarginalNote><Label>(3)</Label><Text>The Council, as well as a corporation described in subsection (4), may do anything in respect of which paragraph 90(1)(a) or (b) of the <XRefExternal reference-type="act" link="F-11">Financial Administration Act</XRefExternal> applies only with the approval of the Governor in Council and in accordance with any conditions that the Governor in Council may impose.</Text></Subsection><Subsection lims:inforce-start-date="2021-06-29" lims:enacted-date="2021-06-29" lims:fid="1309792" lims:id="1309792"><MarginalNote lims:inforce-start-date="2021-06-29" lims:enacted-date="2021-06-29" lims:fid="1309793" lims:id="1309793">Corporation</MarginalNote><Label>(4)</Label><Text>Subsection (3) applies with respect to a corporation if any of its shares, within the meaning of Part X of the <XRefExternal reference-type="act" link="F-11">Financial Administration Act</XRefExternal>, are held by the Council and either</Text><Paragraph lims:inforce-start-date="2021-06-29" lims:enacted-date="2021-06-29" lims:fid="1309794" lims:id="1309794"><Label>(a)</Label><Text>a majority of the corporation’s directors or members are nominated or appointed by or on behalf of Her Majesty in right of Canada or by directors or members who were nominated or appointed by or on behalf of Her Majesty; lims:inforce-start-date="2018-12-13" lims:fid="363448" lims:id="363448">Powers of Council</MarginalNote><Label>5</Label><Subsection lims:inforce-start-date="2018-12-13" lims:fid="363449" lims:id="363449"><Label>(1)</Label><Text>Without limiting the general powers conferred on or vested in the Council by this Act, the Council may</Text><Paragraph lims:inforce-start-date="2018-12-13" lims:fid="363450" lims:id="363450"><Label>(a)</Label><Text>subject to the approval of the Governor in Council, make by-laws for the conduct of its business;</Text></Paragraph><Paragraph lims:inforce-start-date="2018-12-13" lims:fid="363451" lims:id="363451"><Label>(b)</Label><Text>control and direct the work of the Council through the President;</Text></Paragraph><Paragraph lims:inforce-start-date="2018-12-13" lims:fid="363452" lims:id="363452"><Label>(c)</Label><Text>undertake, assist or promote scientific and industrial research, including, without restricting the generality of the foregoing,</Text><Subparagraph lims:inforce-start-date="2018-12-13" lims:fid="363453" lims:id="363453"><Label>(i)</Label><Text>the utilization of the natural resources of Canada,</Text></Subparagraph><Subparagraph lims:inforce-start-date="2018-12-13" lims:fid="363454" lims:id="363454"><Label>(ii)</Label><Text>researches with the object of improving the technical processes and methods used in the industries of Canada, and of discovering processes and methods that may promote the expansion of existing or the development of new industries,</Text></Subparagraph><Subparagraph lims:inforce-start-date="2018-12-13" lims:fid="363455" lims:id="363455"><Label>(iii)</Label><Text>researches with the view of utilizing the waste products of those industries,</Text></Subparagraph><Subparagraph lims:inforce-start-date="2018-12-13" lims:fid="363456" lims:id="363456"><Label>(iv)</Label><Text>the investigation and determination of standards and methods of measurements, including length, volume, weight, mass, capacity, time, heat, light, electricity, magnetism and other forms of energy, and the investigation and determination of physical constants and the fundamental properties of matter,</Text></Subparagraph><Subparagraph lims:inforce-start-date="2018-12-13" lims:fid="363457" lims:id="363457"><Label>(v)</Label><Text>the standardization and certification of the scientific and technical apparatus and instruments for the Government service and for use in the industries of Canada, and the determination of the standards of quality of the materials used in construction of public works and of the supplies used in the various branches of the Government service,</Text></Subparagraph><Subparagraph lims:inforce-start-date="2018-12-13" lims:fid="363458" lims:id="363458"><Label>(vi)</Label><Text>the investigation and standardization, at the request of any of the industries of Canada, of the materials used or usable in, or the products of, the industries making the request, and</Text></Subparagraph><Subparagraph lims:inforce-start-date="2018-12-13" lims:fid="363459" lims:id="363459"><Label>(vii)</Label><Text>researches, the object of which is to improve conditions in agriculture;</Text></Subparagraph></Paragraph><Paragraph lims:inforce-start-date="2018-12-13" lims:fid="363460" lims:id="363460"><Label>(d)</Label><Text>have charge of and direction or supervision over the researches that may be undertaken, under conditions to be determined in each case, by or for single industrial firms or by such organizations or persons as may desire to avail themselves of the facilities offered for this purpose;</Text></Paragraph><Paragraph lims:inforce-start-date="2018-12-13" lims:fid="363461" lims:id="363461"><Label>(e)</Label><Text>expend, for the purposes of this Act, any money appropriated by Parliament for the work of the Council or received by the Council through the conduct of its operations;</Text></Paragraph><Paragraph lims:inforce-start-date="2018-12-13" lims:fid="363462" lims:id="363462"><Label>(f)</Label><Text>acquire any money, securities or other property by gift, bequest or otherwise, and expend, administer or dispose of any of the money, securities or other property subject to the terms, if any, on which the money, securities or other property is given, bequeathed or otherwise made available to the Council;</Text></Paragraph><Paragraph lims:inforce-start-date="2018-12-13" lims:fid="363463" lims:id="363463"><Label>(g)</Label><Text>appoint such scientific, technical and other officers as are nominated by the President, fix the tenure of their appointments, prescribe their several duties and, subject to the approval of the Governor in Council, fix their remuneration;</Text></Paragraph><Paragraph lims:inforce-start-date="2018-12-13" lims:fid="363464" lims:id="363464"><Label>(h)</Label><Text>authorize the President or any other officer of the Council to appoint persons to perform duties of a temporary nature for a period not exceeding six months;</Text></Paragraph><Paragraph lims:inforce-start-date="2018-12-13" lims:fid="363465" lims:id="363465"><Label>(i)</Label><Text>establish, operate and maintain a national science library;</Text></Paragraph><Paragraph lims:inforce-start-date="2018-12-13" lims:fid="363466" lims:id="363466"><Label>(j)</Label><Text>subject to the approval of the Minister, publish and sell or otherwise distribute such scientific and technical information as the Council deems necessary;</Text></Paragraph><Paragraph lims:inforce-start-date="2018-12-13" lims:fid="363467" lims:id="363467"><Label>(k)</Label><Text>carry on work and manufacturing of an experimental and developmental nature with respect to the matters referred to in paragraphs (c) and (d) so as to render the processes, methods or products relating to those matters more available and effective in useful arts and manufacturing and for scientific purposes and otherwise;</Text></Paragraph><Paragraph lims:inforce-start-date="2019-06-17" lims:enacted-date="2014-06-19" lims:fid="363468" lims:id="1225580"><Label>(l)</Label><Text>license, sell or otherwise grant or make available to others, and receive royalties, fees and payment for, any intellectual property right — including any patent, copyright, industrial design, trademark, trade secret, know-how or other similar right and any such future right that is described under a written agreement — that is held, developed, administered or controlled by the Council, whether vested in Her Majesty in right of Canada or in the Council; and</Text></Paragraph><Paragraph lims:inforce-start-date="2018-12-13" lims:fid="363469" lims:id="363469"><Label>(m)</Label><Text>operate and administer any astronomical observatories established or maintained by the Government of Canada.</Text></Paragraph></Subsection><Subsection lims:inforce-start-date="2018-12-13" lims:fid="363470" lims:id="363470"><MarginalNote lims:inforce-start-date="2018-12-13" lims:fid="363471" lims:id="363471">Delegation to President</MarginalNote><Label>(2)</Label><Text>The Minister may authorize the President to approve on the Minister’s behalf the publication, sale or other distribution by the Council of scientific and technical information.</Text></Subsection><Subsection lims:inforce-start-date="2018-12-13" lims:fid="363472" lims:id="363472"><MarginalNote lims:inforce-start-date="2018-12-13" lims:fid="363473" lims:id="363473"><XRefExternal reference-type="act" link="P-32">Public Servants Inventions Act</XRefExternal></MarginalNote><Label>(3)</Label><Text>Despite section 9 of the <XRefExternal reference-type="act" link="P-32">Public Servants Inventions Act</XRefExternal>, the administration and control of any invention made by a <DefinitionRef>public servant,</DefinitionRef> as defined in section 2 of that Act, who is employed by the Council, and vested in Her Majesty by that Act, and any patent issued with respect to the invention, are vested in the Council.</Text></Subsection><HistoricalNote><HistoricalNoteSubItem lims:inforce-start-date="2019-06-17" lims:enacted-date="2014-06-19"
