Ontario Loan Insurance Regulations</XRefExternal>.</Text></Section><Heading lims:inforce-start-date="2006-03-22" lims:fid="913662" lims:id="913662" level="1"><TitleText>Interpretation</TitleText></Heading><Section lims:inforce-start-date="2006-03-22" lims:lastAmendedDate="2006-03-22" lims:fid="913663" lims:id="913663"><Label>2</Label><Subsection lims:inforce-start-date="2006-03-22" lims:fid="913664" lims:id="913664"><Label>(1)</Label><Text>In these Regulations,</Text><Definition lims:inforce-start-date="2006-03-22" lims:fid="913665" lims:id="913665" generate-in-text="no"><Text><DefinedTermEn>applicant</DefinedTermEn> means an individual, partnership, cooperative or body corporate, or any trustee or legal representative thereof, who makes an application pursuant to subsection 3(1), but does not include a government, municipality or agency thereof or a legal entity owned or controlled by a government, municipality or agency or any subsidiary thereof, or any combination thereof; (<DefinedTermFr>requérant</DefinedTermFr>)</Text></Definition><Definition lims:inforce-start-date="2006-03-22" lims:fid="913666" lims:id="913666" generate-in-text="no"><Text><DefinedTermEn>capital costs</DefinedTermEn> means capital costs that are determined in accordance with generally accepted accounting principles to be necessary to carry out a project, other than</Text><Paragraph lims:inforce-start-date="2006-03-22" lims:fid="913667" lims:id="913667"><Label>(a)</Label><Text>goodwill,</Text></Paragraph><Paragraph lims:inforce-start-date="2006-03-22" lims:fid="913668" lims:id="913668"><Label>(b)</Label><Text>motor vehicles not used exclusively on a project site or between two or more project sites,</Text></Paragraph><Paragraph lims:inforce-start-date="2006-03-22" lims:fid="913669" lims:id="913669"><Label>(c)</Label><Text>aircraft, and</Text></Paragraph><Paragraph lims:inforce-start-date="2006-03-22" lims:fid="913670" lims:id="913670"><Label>(d)</Label><Text>the portion of the cost of any asset which exceeds fair market value; (<DefinedTermFr>coûts en immobilisations</DefinedTermFr>)</Text></Paragraph></Definition><Definition lims:inforce-start-date="2006-03-22" lims:fid="913671" lims:id="913671" generate-in-text="no"><Text><DefinedTermEn>designated region</DefinedTermEn> means that area of Ontario north of and including the census divisions of Parry Sound and Nipissing as shown in the Statistics Canada publication <XRefExternal reference-type="other">1981 Census of Canada, Reference Maps, Census divisions and subdivisions</XRefExternal>; (<DefinedTermFr>région désignée</DefinedTermFr>)</Text></Definition><Definition lims:inforce-start-date="2006-03-22" lims:fid="913672" lims:id="913672" generate-in-text="no"><Text><DefinedTermEn>disbursement</DefinedTermEn> means any amount paid by a lender to an applicant under a loan agreement; (<DefinedTermFr>versement</DefinedTermFr>)</Text></Definition><Definition lims:inforce-start-date="2006-03-22" lims:fid="913673" lims:id="913673" generate-in-text="no"><Text><DefinedTermEn>eligible sector</DefinedTermEn> means a sector set out in the schedule; (<DefinedTermFr>secteur admissible</DefinedTermFr>)</Text></Definition><Definition lims:inforce-start-date="2006-03-22" lims:fid="913674" lims:id="913674" generate-in-text="no"><Text><DefinedTermEn>formal demand</DefinedTermEn> means a demand in writing made by a lender to an applicant for the repayment of the outstanding amount under a loan agreement; (<DefinedTermFr>demande officielle</DefinedTermFr>)</Text></Definition><Definition lims:inforce-start-date="2006-03-22" lims:fid="913675" lims:id="913675" generate-in-text="no"><Text><DefinedTermEn>lender</DefinedTermEn> means a bank, credit union, <Emphasis style="italic">caisse populaire</Emphasis> or any other cooperative society, a trust company, a loan company, an insurance company or a pension fund, or a non-bank affiliate of a foreign bank as defined in section 303 of the <XRefExternal reference-type="act" link="B-1.01">Bank Act</XRefExternal> but does not include a government, municipality or agency thereof or an institution that is controlled by the Government of Canada, the government of a province, a municipality or by any agency thereof, or any combination thereof; (<DefinedTermFr>prêteur</DefinedTermFr>)</Text></Definition><Definition lims:inforce-start-date="2006-03-22" lims:fid="913676" lims:id="913676" generate-in-text="no"><Text><DefinedTermEn>loan agreement</DefinedTermEn> means any agreement entered into by a lender and an applicant whereby the lender agrees to grant to the applicant a loan to finance the applicant’s project and for which a loan insurance agreement is made; (<DefinedTermFr>convention de prêt</DefinedTermFr>)</Text></Definition><Definition lims:inforce-start-date="2006-03-22" lims:fid="913677" lims:id="913677" generate-in-text="no"><Text><DefinedTermEn>loan insurance agreement</DefinedTermEn> means any agreement entered into by the Minister and a lender whereby the Minister agrees to provide loan insurance to the lender in respect of one or more loans granted under one or more loan agreements; (<DefinedTermFr>convention d’assurance-prêt</DefinedTermFr>)</Text></Definition><Definition lims:inforce-start-date="2006-03-22" lims:fid="913678" lims:id="913678" generate-in-text="no"><Text><DefinedTermEn>Minister</DefinedTermEn> means the Minister of Industry, Science and Technology; (<DefinedTermFr>ministre</DefinedTermFr>)</Text></Definition><Definition lims:inforce-start-date="2006-03-22" lims:fid="913679" lims:id="913679" generate-in-text="no"><Text><DefinedTermEn>project</DefinedTermEn> means</Text><Paragraph lims:inforce-start-date="2006-03-22" lims:fid="913680" lims:id="913680"><Label>(a)</Label><Text>the establishment, expansion, modernization or renovation of a commercial operation located in the designated region in eligible sector 11, or</Text></Paragraph><Paragraph lims:inforce-start-date="2006-03-22" lims:fid="913681" lims:id="913681"><Label>(b)</Label><Text>the establishment, expansion or modernization of a commercial operation located in the designated region in any other eligible sector. (<DefinedTermFr>projet</DefinedTermFr>)</Text></Paragraph></Definition></Subsection><Subsection lims:inforce-start-date="2006-03-22" lims:fid="913682" lims:id="913682"><Label>(2)</Label><Text>For the purposes of the definition <DefinedTermEn>project</DefinedTermEn> in subsection (1), the establishment of a commercial operation includes the purchase of the assets of a facility if, at the time an applicant makes an application under these Regulations,</Text><Paragraph lims:inforce-start-date="2006-03-22" lims:fid="913683" lims:id="913683"><Label>(a)</Label><Text>the operation of the facility has ceased or is about to cease;</Text></Paragraph><Paragraph lims:inforce-start-date="2006-03-22" lims:fid="913684" lims:id="913684"><Label>(b)</Label><Text>the cessation or imminent cessation of the operation of the facility is due to circumstances beyond the control of its owner; and</Text></Paragraph><Paragraph lims:inforce-start-date="2006-03-22" lims:fid="913685" lims:id="913685"><Label>(c)</Label><Text>the purchase of the assets of the facility is an arm’s length transaction by the applicant in good faith who is unrelated to the present owner or the immediate predecessor of that owner, and the purchase has not been undertaken for the sole purpose of an application under these Regulations.</Text></Paragraph></Subsection><HistoricalNote><HistoricalNoteSubItem lims:inforce-start-date="2006-03-22" lims:fid="913687" lims:id="913687">SOR/91-337, s. 1</HistoricalNoteSubItem></HistoricalNote></Section><Heading lims:inforce-start-date="2006-03-22" lims:fid="913688" lims:id="913688" level="1"><TitleText>Insurance</TitleText></Heading><Section lims:inforce-start-date="2006-03-22" lims:lastAmendedDate="2006-03-22" lims:fid="913689" lims:id="913689"><Label>3</Label><Subsection lims:inforce-start-date="2006-03-22" lims:fid="913690" lims:id="913690"><Label>(1)</Label><Text>An applicant requiring that the Minister enter into a loan insurance agreement shall apply in writing to the Minister on or before March 31, 1992 and shall provide a detailed description of the project and any other information that is necessary to effectively evaluate the application.</Text></Subsection><Subsection lims:inforce-start-date="2006-03-22" lims:fid="913691" lims:id="913691"><Label>(2)</Label><Text>The Minister may enter into a loan insurance agreement where</Text><Paragraph lims:inforce-start-date="2006-03-22" lims:fid="913692" lims:id="913692"><Label>(a)</Label><Text>the loan agreement is for an amount of not more than $15,000,000 and not less than $100,000 and the term of the loan does not exceed 15 years;</Text></Paragraph><Paragraph lims:inforce-start-date="2006-03-22" lims:fid="913693" lims:id="913693"><Label>(b)</Label><Text>the total amount of the loan is to be used to finance the applicant’s project;</Text></Paragraph><Paragraph lims:inforce-start-date="2006-03-22" lims:fid="913694" lims:id="913694"><Label>(c)</Label><Text>subject to section 4, the loan is to be used to finance only capital costs;</Text></Paragraph><Paragraph lims:inforce-start-date="2006-03-22" lims:fid="913695" lims:id="913695"><Label>(d)</Label><Text>the applicant is unable to obtain a loan on commercially acceptable terms, without a loan insurance agreement;</Text></Paragraph><Paragraph lims:inforce-start-date="2006-03-22" lims:fid="913696" lims:id="913696"><Label>(e)</Label><Text>the project would not likely be carried out within the proposed time or scope or in the proposed location, as described in an application made pursuant to subsection (1), without a loan insurance agreement;</Text></Paragraph><Paragraph lims:inforce-start-date="2006-03-22" lims:fid="913697" lims:id="913697"><Label>(f)</Label><Text>an application made pursuant to subsection (1) includes <Language xml:lang="la">pro forma</Language> financial statements for each year in which loan insurance is required by the lender;</Text></Paragraph><Paragraph lims:inforce-start-date="2006-03-22" lims:fid="913698" lims:id="913698"><Label>(g)</Label><Text>the project and the applicant’s commercial operations, as the case may be, are or are expected to be commercially viable, subject to reasonable commercial risk;</Text></Paragraph><Paragraph lims:inforce-start-date="2006-03-22" lims:fid="913699" lims:id="913699"><Label>(h)</Label><Text>an application made pursuant to subsection (1) indicates it is likely that the applicant will have equity representing a minimum of 20 per cent of the capital costs for the project;</Text></Paragraph><Paragraph lims:inforce-start-date="2006-03-22" lims:fid="913700" lims:id="913700"><Label>(i)</Label><Text>the lender acquires an enforceable security for the purpose of securing the repayment of the loan under the loan agreement in a form consistent with standard banking practices;</Text></Paragraph><Paragraph lims:inforce-start-date="2006-03-22" lims:fid="913701" lims:id="913701"><Label>(j)</Label><Text>the project would constitute a significant contribution to the economic benefit of the designated region and of Canada; and</Text></Paragraph><Paragraph lims:inforce-start-date="2006-03-22" lims:fid="913702" lims:id="913702"><Label>(k)</Label><Text>all other requirements of these Regulations are met.</Text></Paragraph></Subsection></Section><Section lims:inforce-start-date="2006-03-22" lims:lastAmendedDate="2006-03-22" lims:fid="913703" lims:id="913703"><Label>4</Label><Text>A loan insurance agreement may be entered into in respect of a loan for working capital if, without loan insurance, the project would not be viable.</Text></Section><Section lims:inforce-start-date="2006-03-22" lims:lastAmendedDate="2006-03-22" lims:fid="913704" lims:id="913704"><Label>5</Label><Text>Subject to section 6, a loan insurance agreement may be entered into in respect of a project in eligible sector 11 if the project is of a quality and scope likely to attract tourists from outside the designated region.</Text></Section><Section lims:inforce-start-date="2006-03-22" lims:lastAmendedDate="2006-03-22" lims:fid="913705" lims:id="913705"><Label>6</Label><Text>A loan insurance agreement may be entered into in respect of a project in eligible sector 11 that is a tourism facility designed to serve food or beverages if that facility</Text><Paragraph lims:inforce-start-date="2006-03-22" lims:fid="913706" lims:id="913706"><Label>(a)</Label><Text>constitutes part of or supports another tourism facility; or</Text></Paragraph><Paragraph lims:inforce-start-date="2006-03-22" lims:fid="913707" lims:id="913707"><Label>(b)</Label><Text>is of a sufficiently thematic or original nature as to constitute a tourism attraction in its own right.</Text></Paragraph><HistoricalNote><HistoricalNoteSubItem lims:inforce-start-date="2006-03-22" lims:fid="913709" lims:id="913709">SOR/91-337, s. 2(F)</HistoricalNoteSubItem></HistoricalNote></Section><Section lims:inforce-start-date="2006-03-22" lims:lastAmendedDate="2006-03-22" lims:fid="913710" lims:id="913710"><Label>7</Label><Text>No loan insurance agreement shall be entered into in respect of a loan granted for a merger, refinancing or an acquisition, except in respect of a project referred to in subsection 2(2).</Text></Section><Heading lims:inforce-start-date="2006-03-22" lims:fid="913711" lims:id="913711" level="1"><TitleText>Coverage</TitleText></Heading><Section lims:inforce-start-date="2006-03-22" lims:lastAmendedDate="2006-03-22" lims:fid="913712" lims:id="913712"><Label>8</Label><Text>A loan insurance agreement shall insure 85 per cent or less of the amount of a loan disbursed pursuant to a loan agreement.</Text></Section><Heading lims:inforce-start-date="2006-03-22" lims:fid="913713" lims:id="913713" level="1"><TitleText>Insurance Fee</TitleText></Heading><Section lims:inforce-start-date="2006-03-22" lims:lastAmendedDate="2006-03-22" lims:fid="913714" lims:id="913714"><Label>9</Label><Subsection lims:inforce-start-date="2006-03-22" lims:fid="913715" lims:id="913715"><Label>(1)</Label><Text>Where a loan insurance agreement is entered into, an insurance fee is payable in advance by the lender to the Minister in accordance with the following formulae:</Text><Paragraph lims:inforce-start-date="2006-03-22" lims:fid="913716" lims:id="913716"><Label>(a)</Label><Text>fee payable at the time of the first disbursement:</Text><FormulaGroup lims:inforce-start-date="2006-03-22" lims:fid="913717" lims:id="913717"><Formula lims:inforce-start-date="2006-03-22" lims:fid="913718" lims:id="913718"><FormulaText>A × B × 0.01</FormulaText></Formula></FormulaGroup></Paragraph><Paragraph lims:inforce-start-date="2006-03-22" lims:fid="913719" lims:id="913719"><Label>(b)</Label><Text>fee payable at the time of each subsequent disbursement:</Text><FormulaGroup lims:inforce-start-date="2006-03-22" lims:fid="913720" lims:id="913720"><Formula lims:inforce-start-date="2006-03-22" lims:fid="913721" lims:id="913721"><FormulaText>A × B × <Fraction><Numerator>C</Numerator><Denominator>365</Denominator></Fraction> × 0.01</FormulaText></Formula></FormulaGroup></Paragraph><Paragraph lims:inforce-start-date="2006-03-22" lims:fid="913722" lims:id="913722"><Label>(c)</Label><Text>fee payable on each anniversary of the date of the first disbursement until the earlier of the date of formal demand and the date the loan is repaid:</Text><FormulaGroup lims:inforce-start-date="2006-03-22" lims:fid="913723" lims:id="913723"><Formula lims:inforce-start-date="2006-03-22" lims:fid="913724" lims:id="913724"><FormulaText>A × D × 0.01</FormulaText></Formula><FormulaConnector>where</FormulaConnector><FormulaDefinition lims:inforce-start-date="2006-03-22" lims:fid="913725" lims:id="913725"><FormulaTerm>“A”</FormulaTerm><Text>is the percentage of the loan that is insured under the loan insurance agreement,</Text></FormulaDefinition><FormulaDefinition lims:inforce-start-date="2006-03-22" lims:fid="913726" lims:id="913726"><FormulaTerm>“B”</FormulaTerm><Text>is the amount of the disbursement,</Text></FormulaDefinition><FormulaDefinition lims:inforce-start-date="2006-03-22" lims:fid="913727" lims:id="913727"><FormulaTerm>“C”</FormulaTerm><Text>is the number of days remaining between the date of the disbursement and the next anniversary date of the first disbursement, and</Text></FormulaDefinition><FormulaDefinition lims:inforce-start-date="2006-03-22" lims:fid="913728" lims:id="913728"><FormulaTerm>“D”</FormulaTerm><Text>is the outstanding amount of the loan under the loan agreement on the anniversary date.</Text></FormulaDefinition></FormulaGroup></Paragraph></Subsection><Subsection lims:inforce-start-date="2006-03-22" lims:fid="913729" lims:id="913729"><Label>(2)</Label><Text>An insurance fee paid by the lender under subsection (1) is not refundable.</Text></Subsection></Section><Heading lims:inforce-start-date="2006-03-22" lims:fid="913730" lims:id="913730" level="1"><TitleText>Payment of a Claim</TitleText></Heading><Section lims:inforce-start-date="2006-03-22" lims:lastAmendedDate="2006-03-22" lims:fid="913731" lims:id="913731"><Label>10</Label><Text>The Minister shall not pay a claim made by a lender under a loan insurance agreement unless the lender</Text><Paragraph lims:inforce-start-date="2006-03-22" lims:fid="913732" lims:id="913732"><Label>(a)</Label><Text>makes a formal demand; and</Text></Paragraph><Paragraph lims:inforce-start-date="2006-03-22" lims:fid="913733" lims:id="913733"><Label>(b)</Label><Text>submits evidence to the Minister that establishes that the lender has</Text><Subparagraph lims:inforce-start-date="2006-03-22" lims:fid="913734" lims:id="913734"><Label>(i)</Label><Text>taken all reasonable steps to protect the lender’s rights and realize on the security provided in respect of the loan, and</Text></Subparagraph><Subparagraph lims:inforce-start-date="2006-03-22" lims:fid="913735" lims:id="913735"><Label>(ii)</Label><Text>suffered a loss as referred to in section 11.</Text></Subparagraph></Paragraph></Section><Section lims:inforce-start-date="2006-03-22" lims:lastAmendedDate="2006-03-22" lims:fid="913736" lims:id="913736"><Label>11</Label><Subsection lims:inforce-start-date="2006-03-22" lims:fid="913737" lims:id="913737"><Label>(1)</Label><Text>The maximum amount payable to a lender pursuant to a loan insurance agreement shall be the lesser of</Text><Paragraph lims:inforce-start-date="2006-03-22" lims:fid="913738" lims:id="913738"><Label>(a)</Label><Text>the amount representing the percentage of insurance, as stipulated in the loan insurance agreement, that is applied to the loss suffered; and</Text></Paragraph><Paragraph lims:inforce-start-date="2006-03-22" lims:fid="913739" lims:id="913739"><Label>(b)</Label><Text>the insured amount at the time of the formal demand.</Text></Paragraph></Subsection><Subsection lims:inforce-start-date="2006-03-22" lims:fid="913740" lims:id="913740"><Label>(2)</Label><Text>For the purpose of subsection (1), <DefinedTermEn>loss</DefinedTermEn> means the aggregate of</Text><Paragraph lims:inforce-start-date="2006-03-22" lims:fid="913741" lims:id="913741"><Label>(a)</Label><Text>the principal amount of the outstanding loan and the amount of unpaid interest on the loan at the date of the formal demand,</Text></Paragraph><Paragraph lims:inforce-start-date="2006-03-22" lims:fid="913742" lims:id="913742"><Label>(b)</Label><Text>reasonable legal fees, costs and other expenses paid by the lender for the purpose of collecting any amount referred to in paragraph (a),</Text></Paragraph><Paragraph lims:inforce-start-date="2006-03-22" lims:fid="913743" lims:id="913743"><Label>(c)</Label><Text>costs incurred and paid by the lender to protect any security provided in respect of the loan disbursed under the loan agreement, and</Text></Paragraph><Paragraph lims:inforce-start-date="2006-03-22" lims:fid="913744" lims:id="913744"><Label>(d)</Label><Text>interest on the amounts referred to in paragraphs (a), (b) and (c), to be calculated from the date of the formal demand until the date of payment of the lender’s claim by the Minister</Text><Subparagraph lims:inforce-start-date="2006-03-22" lims:fid="913745" lims:id="913745"><Label>(i)</Label><Text>at the rate charged by the lender under the loan agreement at the date of the formal demand</Text><Clause lims:inforce-start-date="2006-03-22" lims:fid="913755" lims:id="913755" level="1"><TitleText>Stock Options and Capital Shares</TitleText></Heading><Section lims:inforce-start-date="2006-03-22" lims:lastAmendedDate="2006-03-22" lims:fid="913756" lims:id="913756"><Label>12</Label><Subsection lims:inforce-start-date="2006-03-22" lims:fid="913757" lims:id="913757"><Label>(1)</Label><Text>The Minister may, on behalf of Her Majesty in right of Canada, acquire a stock option as a condition of entering into a loan insurance agreement if the total amount of the loan provided for by the loan agreement is $500,000 or more and the expected rate of return associated with the project justifies the acquisition of the stock option.</Text></Subsection><Subsection lims:inforce-start-date="2006-03-22" lims:fid="913758" lims:id="913758"><Label>(2)</Label><Text>Where, pursuant to subsection (1), the Minister acquires a stock option, the Minister may exercise, assign or sell the stock option where the exercise, assignment or sale is of benefit to Her Majesty in right of Canada.</Text></Subsection><Subsection lims:inforce-start-date="2006-03-22" lims:fid="913759" lims:id="913759"><Label>(3)</Label><Text>Where the Minister on behalf of Her Majesty in right of Canada acquires capital stock under a stock option, the Minister shall, within two years after the day on which the capital stock is acquired, sell the capital stock to benefit Her Majesty in right of Canada.</Text></Subsection><Subsection lims:inforce-start-date="2006-03-22" lims:fid="913760" lims:id="913760"><Label>(4)</Label><Text>Where the Minister receives an offer to purchase a stock option or capital stock acquired under a stock option and the acceptance of the offer would be of benefit to Her Majesty in right of Canada, the Minister shall in writing notify the applicant of the offer.</Text></Subsection><Subsection lims:inforce-start-date="2006-03-22" lims:fid="913761" lims:id="913761"><Label>(5)</Label><Text>Where the applicant intends to purchase the stock option or the capital stock at the price and on the terms and conditions specified in the offer referred to in subsection (4), the applicant shall so advise the Minister within seven business days following the day on which the applicant is notified of the offer.</Text></Subsection><Subsection lims:inforce-start-date="2006-03-22" lims:fid="913762" lims:id="913762"><Label>(6)</Label><Text>Where an applicant advises the Minister pursuant to subsection (5), the Minister shall sell the stock option or capital stock to the
